Terms and Conditions

These Terms and Conditions (“Terms”) constitute a legally binding agreement between Bissi Yaazi Technologies Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at AU North Campus, Andhra University North Campus, Andhra University, Visakhapatnam, Andhra Pradesh 530003 (“Payzo”, “Company”, “We”, “Us”, “Our”) and any individual or entity (“User”, “You”, “Your”) who accesses or uses the Payzo mobile application, website, software, APIs, and related services (collectively, the “Platform”)..

Payzo is a brand and a platform operating under Bissi Yaazi Technologies Private Limited.

By accessing, downloading, installing, registering on, or using the Platform, You acknowledge that You have read, understood, and agreed to be bound by these Terms and all applicable policies referenced herein. If You do not agree, You must immediately discontinue use of the Platform. .

Important: We may amend the terms and conditions at any time by posting an updated version at Payzo: Instant Cashback website(s) and Payzo: Instant Cashback App(s). The updated version of the Terms of Service shall take effect immediately upon posting. It is Your responsibility to review these Terms of Use periodically for updates / changes. Your continued use of Payzo: Instant Cashback App following the posting of changes will mean that You accept and agree to the revisions including additional Terms or removal of portions of these Terms, modifications etc. As long as You comply with these Terms of Use, We grant You a personal, non-exclusive, non-transferable, limited privilege to enter and avail the Services.

1. SCOPE OF SERVICES

    1.1 Payzo is a technology platform that enables Users to:

  • Make digital payments at participating merchants
  • Earn cashback points and promotional rewards
  • Redeem cashback for future payments
  • Participate in referral and loyalty programs
  • 1.2 Payzo is not a bank, NBFC, financial institution, or payment system operator. Payzo does not hold customer funds in its own name.

    1.3 All payment processing services are provided by regulated third-party service providers, including banks, UPI networks, and payment gateways.

2.Eligibility

    2.1 You must:

  • Be at least 18 years of age
  • Be legally capable of entering into a binding contract
  • Be a resident of India with a valid Indian mobile number
  • 2.2 Payzo reserves the right to deny access or terminate accounts at its sole discretion without obligation to disclose reasons.

3.ACCOUNT CREATION AND VERIFICATION

3.1Registration is mandatory to access services

3.2You agree to provide:

  • A valid and active mobile phone number at the time of registration or login for the purpose of receiving One-Time Passwords (OTP) and completing authentication.
  • At the time of first-time registration, Users shall also provide their legal name, as reflected in official records. Users are responsible for ensuring that the information provided is accurate, complete, and up to date.
  • 3.3Payzo verifies information and create account through:

  • OTP verification using Third-party verification services
  • 3.4 Any activity carried out through your account shall be conclusively presumed to have been authorized by you. You shall not disclose your verification OTP or account credentials to any person. Payzo shall bear no responsibility for any loss, damage, or unauthorized activity resulting from such disclosure.

    Important: In the event, Your phone number using which You have registered on Payzo: Instant Cashback is transferred, surrendered and/or deactivated, for any reason whatsoever, it shall be Your responsibility to inform Payzo: Instant Cashback in this regard. This will enable Payzo: Instant Cashback to secure Your Payzo: Instant Cashback account. In case another individual/person intends to register using the phone number which has been transferred, surrendered and/or deactivated, Payzo: Instant Cashback would require time to remove/delink the details of the previous Payzo: Instant Cashback account holder and thereby, reset the account which may take up to one (1) year from the date of request.

    4. PAYMENT FLOW AND TRANSACTIONS

      4.1 When a User initiates a payment:

    • The User is redirected to a third-party payment gateway (UPI, card, bank, or other supported methods).
    • The transaction amount is first received by Payzo through its designated payment and settlement accounts.
    • Payzo subsequently settles the payable amount to the respective Merchant as per its settlement cycle.
    • 4.2Payzo may allow the following payment types:

    • Full payment via payment gateway
    • Full payment using cashback points
    • Hybrid payment using a combination of cashback points and payment gateway
    • 4.3 Transaction success is subject to confirmation from payment gateways, banks, and network partners. Payzo does not guarantee uninterrupted, timely, or error-free transaction processing.

    5.Cashback Points and Rewards

      5.1 Nature and Value Representation

      Cashback points are promotional rewards issued by Payzo to eligible Users as part of loyalty, discount, or merchant-sponsored programs. For ease of understanding and redemption, one (1) cashback point may be displayed as equivalent to one Indian Rupee (₹1); however, such equivalence is indicative only and does not imply that cashback points constitute money, currency, legal tender, stored value, deposit, or any financial instrument.

      5.2 Usage and Restrictions

      Cashback points:

    • Are issued solely at Payzo’s discretion
    • Are non-transferable, non-assignable, and non-encashable
    • Cannot be withdrawn, transferred to a bank account, or converted into cash in any manner
    • May be redeemed only as a discount towards eligible transactions conducted through the Payzo Platform, subject to applicable conditions
    • 5.3 Validity, Limits, and Reversals

      Cashback points may be subject to:

    • Usage limits per transaction or per User
    • Validity or expiry periods determined by Payzo
    • Reversal, adjustment, or forfeiture in cases including, but not limited to, refunds, transaction failures, cancellations, chargebacks, system errors, suspected misuse, or breach of these Terms
    • 5.4 Payzo’s Rights

      Payzo reserves the absolute right, at its sole discretion and without prior notice, to:

    • Determine the issuance, value representation, redemption rules, and applicability of cashback points
    • Modify, suspend, restrict, or discontinue any cashback or reward program
    • Reverse or invalidate cashback points credited due to error, misuse, or violation of these Terms
    • Important: Cashback points do not create any vested right in favor of the User and shall not be considered as property, money, or equivalent value under any circumstances.

    6.HYBRID PAYMENTS

    6.1 The Platform may allow Users to complete a transaction by combining cashback points and payment gateway methods, wherein a portion of the payable amount is settled using cashback points and the remaining portion is paid through an authorized third-party payment gateway.

    6.2 Cashback points applied towards a transaction shall be irrevocably debited at the time of successful transaction confirmation.

    6.3 Cashback points once utilized in a completed transaction shall not be reinstated or reused, except in the event of a refund or transaction reversal processed strictly in accordance with Section 8 (Refunds and Reversals).

    Important: Users acknowledge and agree that hybrid payments are subject to the availability, rules, and successful processing of both cashback points and third-party payment gateway services.

    7.Merchant cashback Points and discounts

    7.1 Promotional offers, discounts, or benefits displayed on the Platform may be:

  • Independently created and provided by Merchants
  • Sponsored, funded, or promoted by Payzo
  • Jointly offered by Merchants and Payzo under specific campaigns or arrangements
  • 7.2 The availability, terms, duration, and applicability of such offers are subject to change and are determined by the respective Merchant and/or Payzo. Payzo does not warrant or guarantee the continuity, accuracy, or availability of any offer beyond the time it is displayed on the Platform.

    7.3 Merchants shall be solely responsible for honoring all valid offers, discounts, or benefits presented to Users at the time a transaction is successfully completed. Payzo shall not be liable for any refusal, modification, withdrawal, or non-fulfillment of merchant-specific offers.

    Important: Users acknowledge that promotional offers are subject to merchant participation and compliance, and Payzo acts solely as a facilitation platform unless explicitly stated otherwise.

    8.REFUNDS AND REVERSALS

    8.1 All refund and reversal requests raised by Users in relation to transactions conducted through the Platform shall be processed and managed by Payzo, subject to verification and applicable policies.

    8.2 Refunds, where approved, shall be processed through one or more of the following methods, at Payzo’s sole discretion:

  • Reversal to the original payment instrument used for the transaction, subject to the rules, timelines, and limitations of the respective payment gateway, bank, or network
  • Re-credit of applicable cashback points to the User’s Payzo account, where the transaction involved cashback usage
  • 8.3 Any cashback points, discounts, or promotional benefits credited in relation to a refunded or reversed transaction shall be automatically reversed, adjusted, or forfeited, as applicable.

    8.4 Refund processing timelines are dependent upon multiple external factors, including but not limited to:

  • Confirmation and approval from the respective Merchant
  • Processing timelines of payment gateways, banks, and financial networks
  • Applicable regulatory or operational requirements
  • 8.5 Payzo shall not be responsible or liable for any delays, failures, or interruptions in refund processing that arise due to systems, actions, or omissions of third-party service providers, including banks, payment gateways, or network operators.

    8.6 In the event a refund is approved after settlement to a Merchant has already occurred, Payzo reserves the right to recover or adjust the refunded amount from the Merchant in accordance with the applicable Merchant Terms and Conditions.

    Important: Refunds are subject to verification, compliance checks, and merchant approval, and may not be processed immediately or in real time.

    9. USER OBLIGATIONS AND PROHIBITED CONDUCT

    By using the Platform, You agree that You shall strictly comply with these Terms and all applicable laws. Without limitation, You shall not, directly or indirectly:

    a) Exploit, misuse, manipulate, or attempt to unfairly benefit from any cashback, referral, promotional, discount, or incentive program offered on the Platform;

    b) Create, operate, or control multiple User accounts for the purpose of abuse, circumvention of limits, or fraudulent gain;

    c) Engage in any activity that is fraudulent, deceptive, misleading, unlawful, or intended to cause harm to Payzo, Merchants, or other Users;

    d) Attempt to gain unauthorized access to the Platform, its systems, networks, or data, or interfere with, disrupt, degrade, or compromise the security, integrity, or functionality of the Platform;

    e) Use the Platform for any purpose that violates applicable laws, regulations, or third-party rights;

    f) Engage in any conduct that, in Payzo’s sole discretion, is deemed abusive, unethical, or detrimental to the Platform or its ecosystem.

    Important:Any violation of this Section shall entitle Payzo, at its sole discretion, to immediately suspend or permanently terminate the User’s account, reverse cashback or benefits, restrict access to services, and take any other action deemed necessary, without prior notice and without liability.

    10. DATA PRIVACY AND COLLECTION

    10.2 Data Sharing and Disclosure

    User data may be shared strictly on a need-to-know basis with:

    • Payment gateways and banking partners for transaction processing
    • Technology and service providers for platform operations
    • Government or law enforcement authorities where required by law, court order, or regulatory obligation

    10.3 Data Protection Commitment

    Payzo implements reasonable technical and organizational safeguards to protect User data against unauthorized access, loss, misuse, or alteration. However, no system can guarantee absolute security.

    10.4 User Consent

    By using the Platform, You expressly consent to the collection, use, storage, and sharing of Your data as described in this Section and the Privacy Policy.

    11.INTELLECTUAL PROPERTY RIGHTS

    11.1 The Platform, including but not limited to the mobile applications, software code, architecture, algorithms, databases, user interfaces, designs, layouts, text, graphics, images, audio, video, trademarks, service marks, trade names, logos, icons, and all other content made available through the Platform (collectively, the “Payzo IP”), are the exclusive property of Payzo Technologies Private Limited and/or its licensors.

    11.2 All rights, title, and interest in and to the Payzo IP, including all intellectual property rights such as copyrights, trademarks, patents, trade secrets, and proprietary rights, are and shall remain vested solely with Payzo.

    11.3 Except for the limited, non-exclusive, non-transferable, and revocable right granted to Users to access and use the Platform strictly in accordance with these Terms, no right, license, or interest in the Payzo IP is granted to Users, whether expressly or by implication.

    11.4 Users shall not, directly or indirectly:

    • Copy, reproduce, modify, adapt, translate, or create derivative works of the Platform or Payzo IP
    • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform
    • Sell, license, sublicense, distribute, publish, or commercially exploit any portion of the Payzo IP
    • Remove, alter, or obscure any proprietary notices or branding

    11.5 Any unauthorized use of the Payzo IP shall constitute a material breach of these Terms and may result in immediate suspension or termination of the User’s account, in addition to legal action under applicable intellectual property laws.

    11.6 Nothing in these Terms shall be construed as granting, by implication or otherwise, any license or right to use Payzo’s trademarks, logos, or brand elements without prior written consent from Payzo.

    Important: All Payzo branding, trademarks, and intellectual property are protected under applicable laws. Unauthorized use may attract civil and criminal liability.

    12.INDEMNITY

    11.1 The Platform, including but not limited to the mobile applications, software code, architecture, algorithms, databases, user interfaces, designs, layouts, text, graphics, images, audio, video, trademarks, service marks, trade names, logos, icons, and all other content made available through the Platform (collectively, the “Payzo IP”), are the exclusive property of Payzo Technologies Private Limited and/or its licensors.

    11.2 All rights, title, and interest in and to the Payzo IP, including all intellectual property rights such as copyrights, trademarks, patents, trade secrets, and proprietary rights, are and shall remain vested solely with Payzo.

    11.3 Except for the limited, non-exclusive, non-transferable, and revocable right granted to Users to access and use the Platform strictly in accordance with these Terms, no right, license, or interest in the Payzo IP is granted to Users, whether expressly or by implication.

    11.4 Users shall not, directly or indirectly:

    11.5 Any unauthorized use of the Payzo IP shall constitute a material breach of these Terms and may result in immediate suspension or termination of the User’s account, in addition to legal action under applicable intellectual property laws.

    11.6 Nothing in these Terms shall be construed as granting, by implication or otherwise, any license or right to use Payzo’s trademarks, logos, or brand elements without prior written consent from Payzo.

    Important: All Payzo branding, trademarks, and intellectual property are protected under applicable laws. Unauthorized use may attract civil and criminal liability.

    13. FORCE MAJEURE

    Payzo shall not be held liable for any failure, delay, interruption, or inability to perform its obligations under these Terms where such failure or delay results from events or circumstances beyond Payzo’s reasonable control. Such events shall include, without limitation, acts of God, natural disasters, floods, earthquakes, fires, pandemics, epidemics, war, riots, civil unrest, strikes, lockouts, governmental actions, changes in law or regulation, court orders, power failures, telecommunications or network outages, failure of payment gateways, banks, or third-party service providers, or any other event beyond Payzo’s reasonable control (“Force Majeure Event”).

    During the continuance of a Force Majeure Event, Payzo’s obligations under these Terms shall be suspended to the extent affected by such event, and Payzo shall not be liable for any losses or damages arising therefrom.

    Important: Payzo will make reasonable efforts to resume performance as soon as practicable after the cessation of the Force Majeure Event.

    14.THIRD PARTY-SERVICES AND COMPLIANCE

    Payzo facilitates payments and related services through integrations with third-party service providers, including but not limited to payment gateways, banks, UPI networks, card networks, technology vendors, and infrastructure providers (“Third-Party Services”). Payzo does not own, operate, or control Third-Party Services and shall not be responsible for their actions, omissions, availability, performance, or compliance.

    Users acknowledge and agree that:

    • Transactions are subject to the terms, conditions, and policies of the respective Third-Party Services
    • Payzo shall not be liable for transaction failures, delays, reversals, or errors caused by Third-Party Services
    • Any disruption, downtime, or technical failure arising from Third-Party Services is outside Payzo’s control

    Payzo reserves the right to modify, replace, or discontinue any Third-Party Service integration at its discretion, without prior notice.

    14.1 Payment Gateway and Banking Network Disclaimer

    All payment transactions initiated through the Platform are processed by regulated payment gateways and banking networks. Payzo shall not be liable for:

    • Declined or failed transactions due to insufficient funds, incorrect credentials, network failures, or bank-side restrictions
    • Delays in settlement, refunds, or reversals caused by payment gateways or banking systems
    • Any loss arising from errors or malfunctions of external payment infrastructure

    Transaction confirmations are subject to final settlement acknowledgements received from such third-party systems.

    14.2 Data Security and Platform Security

    Payzo implements commercially reasonable technical and organizational measures to safeguard the security and integrity of the Platform and User data. However, Users acknowledge and agree that:

    • No digital system can be guaranteed to be completely secure
    • Payzo does not warrant absolute protection against unauthorized access, cyberattacks, data breaches, malware, or system vulnerabilities

    Payzo shall not be liable for any loss or damage arising from:

    • Unauthorized access caused by factors beyond Payzo’s reasonable control
    • User failure to safeguard login credentials, devices, or authentication information
    • Security breaches originating from Third-Party Services, networks, or user devices

    14.3 User Security Obligations

    Users are solely responsible for:

    • Maintaining the confidentiality of account credentials, OTPs, and authentication details
    • Ensuring that their device is secure and protected against malware or unauthorized access
    • Immediately notifying Payzo of any suspected unauthorized access or security breach

    Any activity conducted through a User’s account shall be deemed authorized unless reported promptly.

    14.4 Data Sharing and Legal Disclosure

    Payzo may share User data with:

    • Payment gateways, banks, and service providers for transaction processing
    • Auditors, consultants, or technology partners under confidentiality obligations
    • Government authorities, regulators, or law enforcement agencies where required by law, court order, or legal process

    Such disclosure shall not constitute a breach of these Terms.

    14.5 Regulatory and Legal Compliance Disclaimer

    Payzo operates as a technology and settlement facilitation platform and does not guarantee that the services of merchants or third-party providers comply with all applicable laws. Users agree that:

    • Payzo is not responsible for merchant compliance with tax, consumer protection, or sector-specific regulations
    • Any legal liability arising from merchant conduct shall rest solely with the respective merchant

    14.6 Cyber Incidents and System Downtime

    Payzo shall not be liable for losses arising from:

    • Scheduled maintenance or emergency downtime
    • Cyber incidents, hacking attempts, or system intrusions
    • Network or server failures beyond Payzo’s reasonable control

    Payzo may temporarily suspend services for security, maintenance, or compliance purposes without prior notice.

    14.7 Risk Acknowledgement

    By using the Platform, Users expressly acknowledge and accept that:

    • Digital payments and online platforms involve inherent risks
    • Payzo acts only as an intermediary facilitating transactions and settlements
    • Certain risks are unavoidable despite reasonable security and compliance measures

    14.8 Survival of Provisions

    Provisions relating to liability, disclaimers, indemnity, dispute resolution, data protection, and governing law shall survive termination of these Terms.

    DISCLAIMER OF WARRANTIES

    The Payzo Platform, including all features, services, content, and functionality, is provided on an “AS IS” and “AS AVAILABLE” basis, without any warranties of any kind, whether express, implied, statutory, or otherwise.

    Payzo expressly disclaims all warranties, including but not limited to:

    • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
    • Warranties relating to uninterrupted, timely, secure, or error-free operation of the Platform
    • Warranties regarding the accuracy, reliability, completeness, or availability of any content, offers, cashback, or merchant services displayed on the Platform

    Payzo does not warrant that:

    • Transactions will always be successful
    • Cashback or offers will always be available
    • The Platform will be free from technical issues, delays, or third-party failures

    Important: Users agree that their use of the Platform is at their own risk and discretion.
